These Terms of Use (“Terms”) govern your access to and use of codeace.com and its subdomains (the “Website”), operated by CodeAce IT Solutions LLP (“CodeAce”, “we”, “us”, “our”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

Scope. These Terms apply to use of the Website only. They do not govern:

  • Client services. Our digital experience, performance marketing, and engineering & AI services are governed exclusively by the written proposal, statement of work or service agreement signed between CodeAce and the client. Nothing on the Website forms part of, or modifies, any such agreement.
  • Our products. Writto AI, Momenza and RoamJoy are separate products, each with its own terms of service published on its own site.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and legally able to enter into a binding agreement to use the Website. If you use the Website on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. What the Website is for

The Website provides information about CodeAce, its services, products, case studies, culture and careers, and a means to contact us. It is for general information and business enquiry purposes.

3. Acceptable use

You agree not to:

  • Use the Website for any unlawful purpose or in breach of any applicable law
  • Attempt to gain unauthorised access to the Website, its servers, the Acey assistant, or any connected system or database
  • Introduce viruses, malware or any harmful code, or attempt a denial-of-service attack
  • Scrape, crawl, harvest or copy content or data from the Website by automated means without our written permission (search engines indexing publicly available pages are excepted)
  • Submit false, misleading, defamatory, obscene or infringing content through any form, chat or application
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Website to send unsolicited commercial communications
  • Interfere with any other person’s use of the Website

We may suspend or block access to the Website, without notice, for any breach of this section.

4. Acey, our website assistant

The Website includes “Acey”, an AI-powered chat assistant that answers general questions about CodeAce and its services.

  • Acey is a guide, not a quote. Its responses are generated automatically, may be inaccurate or incomplete, and are not offers, quotations, commitments or professional advice. Anything specific — pricing, scope, timelines, feasibility — should be confirmed with the CodeAce team.
  • Fair use. You may not use Acey to attempt to extract its underlying prompts or configuration, to generate harmful or unlawful content, or to overload the service.
  • Your inputs. Do not enter confidential business information, personal data of other people, passwords or sensitive personal data. Chat inputs are processed as described in our Privacy Policy.
  • We may modify, suspend or withdraw Acey at any time.

5. Intellectual property

5.1 Our content

The Website and everything on it — text, graphics, logos, images, video, page layouts, case studies, articles, downloadable materials and underlying code — are owned by or licensed to CodeAce and protected by copyright, trademark and other intellectual property laws of India and internationally.

“CodeAce”, the CodeAce logo, “Acey”, “Writto AI”, “Momenza” and “RoamJoy” are trademarks of CodeAce IT Solutions LLP or its group companies. You may not use them without our prior written consent.

5.2 Limited licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to view and download Website content for your personal or internal business evaluation purposes only. You must not modify, reproduce, republish, distribute, sell or create derivative works from any content without our prior written permission, except as permitted by applicable law, including fair dealing under the Indian Copyright Act, 1957.

5.3 Third-party marks and client references

Other product and company names on the Website — including client names, logos, media outlets and platforms featured in case studies or press coverage — are trademarks of their respective owners and are used for identification or with permission. Their appearance does not imply endorsement of CodeAce by those parties, or of those parties by CodeAce.

6. Content you submit

When you submit information through a contact form, project brief, Acey chat or job application, you:

  • Confirm the information is accurate and that you have the right to share it
  • Grant CodeAce a non-exclusive, royalty-free licence to use it for the purpose of responding to you, evaluating a potential engagement or considering your application
  • Acknowledge that submissions are not confidential unless a separate non-disclosure agreement is signed, although we handle personal data in accordance with our Privacy Policy

Do not submit trade secrets or highly sensitive business information through the Website. If you need to share such information, request a non-disclosure agreement first by emailing hello@codeace.com.

Any feedback, ideas or suggestions you voluntarily provide about our services may be used by CodeAce without obligation or compensation to you.

7. Careers

Job listings on the Website are for information only and are not offers of employment. Submitting an application creates no obligation on CodeAce to interview or hire you. Applications are handled in accordance with our Privacy Policy. Any offer of employment is subject to a separate written agreement and, where applicable, background and reference checks.

8. No professional advice and no offer

Content on the Website — articles, service descriptions, indicative figures, timelines, media coverage and case studies — is provided for general information only. It is not professional, technical, marketing, legal, tax or financial advice, and it is not a binding offer or quotation.

Results described in case studies, statistics or testimonials, such as revenue generated, orders placed or performance improvements, are specific to those clients and their circumstances. They are not a guarantee of similar results for you. Marketing outcomes in particular depend on factors outside CodeAce’s control, including market conditions, budgets and third-party platform policies.

Any engagement with CodeAce is subject to a separate written agreement, and pricing, scope and timelines are confirmed only in that agreement.

The Website contains links to third-party websites, platforms and resources — including Facebook, LinkedIn, Instagram, YouTube, client websites and media outlets — and may embed content from them. These are provided for convenience only. CodeAce does not control and is not responsible for their content, availability, accuracy or privacy practices. Linking does not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms.

10. Availability and changes

We aim to keep the Website available but do not guarantee uninterrupted, timely, secure or error-free access. We may modify, suspend or discontinue any part of the Website, including Acey, at any time without notice. We may also update Website content, including service and product descriptions, at any time.

11. Disclaimer of warranties

To the fullest extent permitted by law, the Website, Acey and all content are provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or completeness. CodeAce does not warrant that the Website will be free of viruses or other harmful components, or that AI-generated responses will be accurate.

12. Limitation of liability

To the fullest extent permitted by applicable law:

  • CodeAce, its group companies, partners, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of, or inability to use, the Website, Acey or any content, even if advised of the possibility of such damages.
  • CodeAce’s total aggregate liability for all claims arising out of or relating to the Website shall not exceed INR 10,000 (Indian Rupees ten thousand).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence. Consumers in the EU, UK or other jurisdictions may have statutory rights that these Terms do not affect.

13. Indemnity

You agree to indemnify and hold harmless CodeAce and its group companies, partners, employees and agents from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Website or Acey, or your violation of any law or third-party right.

14. Privacy

Our collection and use of personal data through the Website — including through forms, Acey and job applications — is described in our Privacy Policy, which forms part of these Terms.

15. Governing law and dispute resolution

These Terms are governed by the laws of India. Subject to the following paragraph, the courts at Kozhikode, Kerala, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Website.

Before commencing any legal proceedings, you agree to first raise the dispute in writing with us at hello@codeace.com and to make a good-faith attempt to resolve it within 30 days.

If you are a consumer in the EU or UK, nothing in this section deprives you of the protection of mandatory provisions of the law of your country of residence, or of your right to bring proceedings in your local courts.

16. General

  • Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and CodeAce regarding use of the Website.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms. CodeAce may assign them to a group company or successor entity.
  • Language. These Terms are drafted in English. Any translation is for convenience only; the English version prevails.

17. Changes to these Terms

We may revise these Terms at any time by posting the updated version on the Website with a new “Last updated” date. Material changes will be highlighted by a notice on the Website. Your continued use of the Website after changes take effect constitutes acceptance of the revised Terms.
